Welcome to Frenzy (hereinafter referred to as the "App"). This document is an electronic record inaccordance with the provisions of the Information Technology Act, 2000, and is published under theprovisions of Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011. Theserules mandate the publication of the terms and conditions, privacy policy, and user guidelines foraccessing or utilizing the Frenzy mobile application platform (the "Platform").
The Platform is owned and operated by Frenzy Games Private Limited, having its registered officeat No 12/2, 12, 7th Cross Rd, 3rd Block, Koramangala 1A, Koramangala, Bangalore, BangaloreSouth, Karnataka, India, 560034.
Your access to and use of the App and its associated services (collectively referred to as the"Services") are governed by these Terms and Conditions ("Terms"). By merely using the App, youagree to enter into a contractual relationship with Frenzy Games Private Limited. These Termsconstitute your binding obligations with respect to the use of the App.
For the purposes of these Terms, the terms "You," "User," or "Your" shall refer to any individual orlegal entity that has registered to use the App. The terms "we," "us," "our," or “Frenzy Games" shallrefer to Frenzy Games Private Limited and its affiliates.
When you utilize any services provided through the App, including but not limited to gameplay,earning virtual coins, redeeming discounts, or shopping products, you will be subject to the relevantrules, guidelines, and policies applicable to such services. These rules and policies shall beincorporated into these Terms by reference.
We reserve the right, at our sole discretion, to modify, amend, or remove portions of these Terms atany time without prior written notice. You are encouraged to review these Terms periodically forupdates. Your continued use of the App following the posting of changes constitutes youracceptance of such revisions.
1. USER ACCOUNT, PASSWORD & SECURITY• Account Creation: To access certain features of the App, you may be required to createa user account ("User Account"). You agree to provide accurate, current, and completeinformation during the registration process and to update such information to maintainits accuracy, currency, and completeness.
• Account Security: You are responsible for maintaining the confidentiality of your UserAccount information, including your password. You agree to notify us immediately ofany unauthorized access to your User Account or any other breach of security. You arefully responsible for all activities that occur under your User Account, and we will not beliable for any loss or damage arising from your failure to comply with this obligation.
2. SERVICES OFFERED• Gaming Services: The App provides a variety of skill-based games (collectivelyreferred to as "Games"). These Games are designed to challenge users' mental andphysical abilities and to enhance their skills. All Games offered through the App areclassified as games of skill, as defined under applicable Indian laws.
• Earning Coins: Users can earn virtual coins ("Coins") by participating in the Gamesand completing specific challenges. The specific mechanics for earning Coins, includingrates and qualifying activities, may be modified at our sole discretion without priornotice.
• Redemption of Coins: Coins are non-transferable, non-salable, and have no cash value.They cannot be exchanged for cash or any monetary equivalent. Coins can be redeemedfor discounts on eligible products available in our e-commerce shop (the “Shop") withinthe App. The specific terms for redeeming Coins, including applicable restrictions andthe number of Coins required for each redemption, will be clearly communicated withinthe App.
3. E-COMMERCE SHOP
• Products Offered: The Shop provides access to a range of products, including but notlimited to electronics, sports products, toys, and more (collectively referred to as“Products")
.• Frenzy Products and Supplier Products: The Shop offers products from FrenzyGames as well as our partnered suppliers “collectively referred to as “Suppliers”.Products sold by Frenzy Games and Products sold by Suppliers are subject to therespective shipping and delivery policies as well as cancellation, return and refundpolicies. You can find this information in our Shipping Policy and Return & Refundpolicy on our site and App.
• Pricing and Availability: The pricing and availability of Products are subject to changewithout prior notice. We reserve the right to limit the quantity of Products purchased perorder and to discontinue any Product at our discretion.
• Purchase Terms: All purchases made through the Shop are subject to our standard saleterms, including payment processing, shipping, and return policies. By purchasing products, you acknowledge that all transactions will comply with the Payment andSettlement Systems Act, 2007, and relevant Indian regulations.
• Shipping & Delivery: Please refer to the Shipping Policy on our site, as amended fromtime to time.
• Cancellations, Returns & Refunds: Please refer to the Return & Refund Policy on oursite, as amended from time to time.
Z Coin Exclusive Redemption Restriction• Each user is permitted to redeem one (1) Z Coin Exclusive item once every ninety (90) days.
• “Z Coin Exclusive items” refer to products that are available only for redemption using Z Coins and are not available through any other purchase method.
• The 90-day period is calculated from the date of a successful redemption of any Z Coin Exclusive item.Attempts to redeem additional Z Coin Exclusive items within this period will not be permitted.
• This restriction applies per user account, irrespective of device or session used.
• We will review and investigate all user complaints or queries related to Z Coin redemptions in good faith.
• However, the final interpretation of these terms and any decision regarding user eligibility, redemption status, or suspected misuse shall rest solely with Frenzy Games Pvt Ltd, and shall be final and binding.
• We reserve the right to modify or discontinue the Z Coin Exclusives program or any related policy at our sole discretion, with or without prior notice.
4. USER CONDUCT
• Lawful Use: You agree to use the App solely for lawful purposes and in accordance withthese Terms. You are prohibited from using the App in a manner that violates anyapplicable laws or regulations.
• Prohibited Activities: You shall not:
• Engage in any fraudulent or deceptive practices.
• Interfere with or disrupt the App or its associated servers.
• Attempt to gain unauthorized access to any portion of the App or any systems ornetworks connected to the App.
• Transmit any unsolicited or unauthorized advertising or promotional materials.
5. INTELLECTUAL PROPERTY RIGHTS
• Ownership: All content, features, and functionality of the App, including but not limitedto text, graphics, logos, designs, and software (collectively referred to as "Content"), arethe exclusive property of Frenzy Games or its licensors and Suppliers, and are protectedby applicable intellectual property laws, including the Copyright Act, 1957, and theTrade Marks Act, 1999.
• Limited License: You are granted a limited, non-exclusive, non-transferable license toaccess and use the App solely for your personal, non-commercial use, provided that youdo not modify, reproduce, distribute, or create derivative works of any Content withoutour express written consent.
6. TERMINATION
We reserve the right to suspend or terminate your access to the App at our sole discretion, withoutprior notice, for any conduct that we believe violates these Terms or is harmful to other users, us, orany third parties. Upon termination, all rights granted to you under these Terms will ceaseimmediately.
7. DISCLAIMER OF WARRANTIES
The App and all Content are provided on an "as-is" and "as-available" basis without any warrantiesof any kind. To the fullest extent permitted by law, Frenzy Games disclaims all warranties, expressor implied, including but not limited to implied warranties of merchantability, fitness for a particularpurpose, and non-infringement.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Frenzy Games shall not be liable for anyindirect, incidental, special, consequential, or punitive damages arising from your use of the App,whether based on warranty, contract, tort (including negligence), or any other legal theory, even ifwe have been advised of the possibility of such damages.
9. INDEMNIFICATION
You agree to indemnify and hold harmless Frenzy Games, its affiliates, licensors, and serviceproviders from any claims, liabilities, damages, judgments, losses, costs, expenses, or fees(including reasonable attorneys' fees) arising out of or relating to your violation of these Terms oryour use of the App.
10. GOVERNING LAW & DISPUTE RESOLUTION
• Governing Law: These Terms shall be governed by and construed in accordance withthe laws of India, without regard to its conflict of law provisions.
• Dispute Resolution: In the event of any dispute arising under or in connection withthese Terms, the parties shall first attempt to resolve the matter amicably throughnegotiation. If the dispute cannot be resolved within 90 days, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The place of arbitration shall be Bangalore, Karnataka, and the language shall be English.
11. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Any changes will be effective immediatelyupon posting in the App. Your continued use of the App following any modifications constitutesyour acceptance of the revised Terms. You are responsible for periodically reviewing these Termsfor updates.
12. SERVABILITY
If any provision of these Terms is deemed invalid or unenforceable by a court of competentjurisdiction, the remaining provisions shall continue in full force and effect.
13. ENTIRE AGREEMENT
These Terms, along with any policies referenced herein, constitute the entire agreement betweenyou and Frenzy Games regarding your use of the App, the Platform and its Services and supersedeall prior agreements and understandings, whether written or oral.
